I have used Anthony Mancuso's How to Form a Nonprofit Corporation many times in its various editions over the past 25 years or so. Among many choices available, it is the go-to resource before you look at others or seek more specialized assistance. It is relatively inexpensive, especially relative to hugely expensive guides from the major law book publishers.I have found that the author's advice is accurate, current and especially helpful in terms of compliance with the complicated steps necessary to complete and assemble the Form 1023. I have filed many Form 1023 applications over the past 40 years and using Mancuso's book in conjunction with the IRS forms and instructions is always helpful in ensuring that you don't forget something really important.
THE BOOK FOR NON-PROFITS It is a lot more than we need for a Friends of the Library group. It covers all bases with a CD of forms to fill out. Gives examples of 501c3 groups of all kinds. Some have staff, buildings and money. Some are all volunteer and have few funds, like us.There are older editions of this book in some of our county libraries but all are in the REFERENCE section. I'll ask our librarian to let this one circulate when we donate it to the library. Lots for groups who wonder about: *incorporation with the Department of State in their state *By-laws, constitution *Board of Directorsand many other topics will find this book VERY VALUABLE. Evidently California non-profits need their own book. Also available from NOLO.
I have purchased several of the Nolo books on a variety of topics - a couple on deductions, depreciations, forming a incorporating (conventional), property management, etc. I have yet to be disappointed. All are extensive and well written with either a resource CD or online access to support documents. I won't say that you can incorporate (profit or non-profit) in every case after using this resource without advice of an attorney; but you will at the very least be hugely informed regarding options that should be considered before filing Articles of Incorporation.

Information in this book was a good guide through the maze of incorporating in California. Sometimes it can lead to overkill so check ByLaws from other 501(c)(3) organizations for a reality check.
I'm sure this is a good resource for many people. Unfortunately, if one, such as myself, wants to set up a "mutual benefit" corp. this is NOT the book to use, which the author clearly states on page 5. I really wish I would have known that prior to purchase.
